This paper introduced the background and states quo of mergers and acquisitions of commercial retail in China and pointed out the six major features:M&A mainly in the same business;foreign retail magnate activity;domestic retail enterprises accelerate the integration;foreign investors repurchase shares,speed up the wholly-owned;foreign industry fund activity;secondary market M&A appeared. Then,we analysis the M&A motives of Chinese and foreign commercial retail enterprises according to M&A theory of motivation and based on the specific situation of M&A in China. Based on this,reveals four major problems:overseas-funded enterprises get out of line;domestic fraud,foreign capital speculation;non-standardized government behavior in domestic-funded enterprises M&A;the domestic private sector business leaders ended. Lastly,according as our study and understanding,we think that the M&A of commercial retail will be four major trends in China:M&A in the same business extends to the second and third line cities;more large-scale M&A will occur;mixing M&A will gradually increase in the retail industry;vertical M&A will gradually increase.
