Legal environment significantly changed in 2011. In August, CSRC launched the rule "Amending the Provisions on the Material Asset Reorganization and Ancillary Financing of Listed Companies", and clearly rules reverse acquisition. The article reviews the new rules. More than 20 reverse acquisition transactions were approved by the CSRC this year. Using case method, the article summarizes the legal problems in common. <<
