建立完善的市场监管体制，是中国场外交易市场发展的重要内容。本文分析了中国场外交易市场风险及其特征；总结了场外交易市场监管制度设立及演变的一般规律；借鉴国内外经验，提出了中国场外交易市场监管体系的基本模式，即统一制度约束下的分层次、多主体监管模式。本文认为，这一模式有利于充分发挥各类监管主体的积极性，形成有效的场外交易市场监管和保证场外市场的健康、稳定发展。
<<It is an important content to establish a complete Market Supervision System for the development of OTC in China.This paper analyzed the risk and characteristics of OTC market in China，and summed up the rules of the establishment and evolution of regulatory systems in OTC. I learned from the experiences at home and abroad，and proposed the basic mode of supervision system of OTC in China，which is sub-level and multi-agent control mode under the constraints in a unified system. I think this model is conducive to bring into full enthusiasm of the main types of regulation，form an effective supervision of OTC and ensure the development of OTC healthy and stable.
