With the establishment of Shanghai Free Trade Zone，the negative list came into China. Negative list management method regards “method nonrestraint are available” as the core idea，recommends to give the market freedom to develop economy，and is used by most of countries. Henan industrial cluster districts have obtained proud achievements，but if Henan province wants to move forward on the basis of the original results，she should give full play to the role of market factors，and introducing negative list management become necessary. This paper briefly describes the negative list management model，and preliminarily discusses the Henan Cluster Districts and importance of introducing negative list management model and prospects.
