The reforming of the rural land management system having been pushing on in Henan since the reform and opening-up especially the third plenary session of the seventeenth central committee. But with the development of socialist market economy，contradictory problems of urban-rural dual structure，presented by the rural land management system，were more obvious. Deepening the reform is imperative. The article firstly indicates the basic principle and general direction of Henan to deepen the reform of rural land system. Then it put forward the countermeasures to deepen the reform of rural land system in Henan. First，the reform of rural land property rights system should be deepened，and guiding the orderly flow of rural land management right. Second，we must set up a unified construction land market of town and country to make the management of rural collective construction land into the market standardly and legally. Third，the management system of rural residential land and its exit mechanism need to be more perfect. Fourth，our government must promote the reform of land expropriation system to guarantee that the farmers should share the appreciation income of land fairly.
